Notice Of Books Closure

The Board of Directors of Food Empire Holdings Limited wishes to announce that the Share Transfer Books and Register of Members of the Company will be closed on 6 May 2004 for the purpose of determining shareholders' entitlements to the dividend which will be proposed at the Annual General Meeting (the "AGM") of the Company to be held on 27 April 2004.

Registrable transfers received by the Company's Registrars, Lim Associates (Pte) Ltd at 10 Collyer Quay #19-08, Ocean Building, Singapore 049315 up to 5.00 p.m. on 5 May 2004 will be registered before entitlements to the dividend are determined.

Subject to the approval of the shareholders at the AGM, the proposed dividend will be paid on 19 May 2004.
