Results Of Annual General Meeting And Extraordinary General Meeting

The Board of Directors of Food Empire Holdings Limited (the "Company") wishes to announce the following:

1. At the Annual General Meeting ("AGM") of the Company held on 27 April 2012, all resolutions relating to matters as set out in the Notice of AGM were duly passed.

2. At the Extraordinary General Meeting ("EGM") of the Company held on 27 April 2012, all resolutions relating to matters as set out in the Notice of EGM were duly passed.
