Dividend And Closure Of Books

Further to the Financial Statement and Dividend Announcement for the year ended 31 December 2005 made on 21 February 2006, the Board of Directors of Food Empire Holdings Limited ("the Company") wishes to announce that the Company's First & Final Dividend of 0.5 cents per ordinary share (less tax) and a Special Dividend of 1.375 cents per ordinary share (less tax) will be paid on 17 May 2006, if so approved by shareholders at the Annual General Meeting to be held on 20 April 2006.

Notice is hereby given that the transfer books and register of members of the Company will be closed on 4 May 2006 for the preparation of dividend warrants. Registrable transfers received by the Company's Registrar, LIM ASSOCIATES (PTE) LTD of 10 Collyer Quay #19-08, Ocean Building, Singapore 049315 by 5.00 p.m. on 3 May 2006 will be registered before entitlements to the dividend are determined.
